1. Acceptance of Terms; Electronic Signature

By accessing and using the website and services of The Nobility Network LLC ("TNN," "we," "us," or "our"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services.

By checking a box, clicking "I agree," creating an account, or otherwise using our services, you are providing your electronic signature and consenting to conduct business with us electronically. You agree that your electronic signature and acceptance carry the same legal weight and effect as a handwritten signature.

2. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to create an account or purchase a membership, resource, or coaching session. By creating an account, you represent that you meet these requirements. Our services are not directed to, and may not be used by, children under 13 (see our Privacy Policy for more on children's privacy).

3. Description of Services

TNN provides educational resources, coaching services, and community support for parents and childcare providers. Our services include but are not limited to:

• Digital resources and educational content
• One-on-one coaching sessions
• Membership programs
• A directory of independently owned and operated childcare providers
• Community access and networking

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Payment Terms

Membership fees and coaching session payments are processed through our secure payment provider. Recurring subscriptions will be billed according to your selected plan. You may cancel your subscription at any time through your account settings.

6. Intellectual Property

All content provided through TNN, including but not limited to text, graphics, logos, and educational materials, is the property of TNN and is protected by copyright laws. You may not reproduce, distribute, or create derivative works without our express written consent.

7. AI-Assisted Content

Some content on our platform — including course materials, workbooks, blog posts, and other resources — may be created, drafted, or edited with the assistance of artificial intelligence tools. While our team reviews AI-assisted content for quality, such content may nonetheless contain errors, omissions, or outdated information. Content on our platform is provided for general educational purposes and is not a substitute for independent judgment or advice from a qualified professional.

8. No Professional Advice; Assumption of Risk; No Guaranteed Results

Our content, courses, resources, and coaching sessions are provided for general educational and informational purposes only. Nothing on our platform constitutes professional medical, legal, financial, childcare licensing, or safety advice, and no professional-client relationship is formed between you and TNN, or any coach, provider, or contributor, by using our services.

You are solely responsible for evaluating and acting on any information, guidance, or recommendation obtained through our platform, and you assume all risk associated with decisions made at your home or childcare business based on that information. TNN makes no guarantee, warranty, or representation regarding the results you will achieve from using our content, resources, courses, or coaching services, including but not limited to business outcomes, staff or child behavior outcomes, licensing compliance, or enrollment growth. Individual results vary.

9. Third-Party Content, Independent Providers & Coaches

Our platform includes a directory of independently owned and operated childcare providers, as well as coaching and training services delivered by independent coaches and trainers who are not employees of TNN. TNN does not own, operate, manage, employ, supervise, or control any provider with a Provider Profile or any coach with a Coaching Profile, and is not responsible or liable for their acts, omissions, services, advice, staffing decisions, or compliance with licensing or safety requirements. Any transaction, engagement, or relationship you enter into with a provider or coach on our platform is solely between you and that party.

10. Provider Profiles (Childcare Providers)

Childcare providers may create a public-facing profile on our platform to list their business in our directory (a "Provider Profile"), distinct from a Coaching Profile (see below). Providers are solely responsible for the accuracy and currency of the information, credentials, and claims they post. TNN does not independently verify, background-check, or vet the information contained in a Provider Profile, and makes no representation or warranty as to its accuracy.

By creating a Provider Profile, you consent to that profile being published and made publicly visible and searchable on our platform, and you agree to indemnify and hold harmless TNN, its officers, employees, and affiliates from any claims, damages, or liabilities arising out of or related to the content of your profile.

Maintaining a Provider Profile means only that the provider has joined the TNN network and created a profile on our platform. It is not a credential, endorsement, referral, recommendation, or guarantee of quality, and it does not mean that TNN owns, operates, manages, refers clients to, or is otherwise affiliated with the provider's business. Families should independently evaluate any provider before making care decisions.

11. Coaching Profiles & Coaching Disclaimers

Independent coaches and trainers may create a separate public-facing profile to offer coaching or training services through our platform (a "Coaching Profile"), distinct from a Provider Profile. Coaches are solely responsible for the accuracy and currency of the information, credentials, and claims they post. TNN does not independently verify, background-check, or vet the information contained in a Coaching Profile, and makes no representation or warranty as to its accuracy.

By creating a Coaching Profile, you consent to that profile being published and made publicly visible and searchable on our platform, and you agree to indemnify and hold harmless TNN, its officers, employees, and affiliates from any claims, damages, or liabilities arising out of or related to the content of your profile or the coaching services you provide.

Maintaining a Coaching Profile means only that the coach has joined the TNN network and created a profile on our platform. It is not a credential, endorsement, referral, recommendation, or guarantee of quality, and it does not mean that TNN owns, operates, manages, or is otherwise affiliated with the coach's independent practice.

TNN does not provide, and expressly disclaims, any insurance, malpractice, professional liability, or other coverage of any kind for coaching or training services rendered through our platform. Coaches are independent contractors, not employees or agents of TNN, and are solely responsible for maintaining any insurance or professional coverage applicable to their own practice. Booking or attending a coaching session does not create any insurance relationship, coverage, or guarantee of any kind between you and TNN, and TNN is not a party to, and assumes no responsibility for, the coaching relationship between you and the coach.

12. Disclaimer of Warranties

OUR SERVICES, CONTENT, AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TNN AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TNN'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO TNN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits our liability for gross negligence, willful misconduct, or any other liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless TNN and its officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of our services; (b) your violation of these Terms; (c) content you submit, post, or provide through our platform, including a Provider Profile; or (d) your violation of any rights of a third party.

15. Termination

We may suspend or terminate your account or access to our services at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is harmful to our business interests. You may cancel your account at any time as described in your account settings. Sections of these Terms that by their nature should survive termination — including Payment Terms for amounts owed, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Dispute Resolution — will survive.

16. Dispute Resolution; Governing Law; Binding Arbitration & Class Action Waiver

These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-laws principles.

Before filing a claim against TNN, you agree to first contact us at support@thenobility.network and attempt to resolve the dispute informally for at least 30 days.

If a dispute is not resolved informally, you and TNN agree that any dispute arising out of or relating to these Terms or our services will be resolved exclusively through binding, individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. Arbitration will take place in Idaho, or by videoconference or written submission, as permitted by the AAA rules.

YOU AND TNN EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. CLAIMS MAY ONLY BE BROUGHT ON AN INDIVIDUAL BASIS.

You may opt out of this arbitration agreement by emailing support@thenobility.network within 30 days of first creating an account, stating that you decline to be bound by it. Opting out will not affect any other provision of these Terms.

If any part of this arbitration agreement is found unenforceable, the remainder will remain in effect, except that if the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) may proceed in court.

17. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Your continued use of our services after changes constitutes acceptance of the modified terms.

18. Severability; Entire Agreement

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and TNN regarding your use of our services.
